Terms & Conditions
1. About These Terms
These Terms of Service (the “Terms”) govern all delivery and courier services provided by Metrohub Logistics Ltd. (“Metrohub,” “we,” “us,” or “our”) to any customer (“you” or “Customer”). By requesting, booking, or using our services — whether by phone, email, our website, our customer portal, or any other method — you accept these Terms. Where you have a separate signed written agreement with us, that agreement prevails to the extent of any conflict with these Terms.
2. Definitions
“Shipment” or “Goods” means the items you tender to Metrohub for transport. “Delivery” means completion of transport to the address you specify. “Proof of Delivery” or “POD” means the electronic confirmation — which may include signature, photograph, date, time, and GPS location — captured by our drivers. “Business Hours” means [8:00 a.m. to 5:00 p.m. Central Time, seven days a week], excluding statutory holidays. “Account Customer” means a customer we have approved for invoiced billing.
3. Services
Metrohub provides local pickup and last-mile delivery within Winnipeg and surrounding areas, including same-day, rush and express, scheduled, and next-day delivery; recurring and multistop routes; local freight and palletized loads; and returns and reverse logistics. Service availability, delivery windows, and rates depend on the service level you select and are subject to these Terms. We may refuse or decline any Shipment at our discretion.
4. Booking and Customer Information
You are responsible for providing complete and accurate information for each Shipment, including correct pickup and delivery addresses, recipient names and contact details, special handling instructions, and any access requirements. Metrohub is not responsible for delays, misdeliveries, or additional charges caused by incomplete, inaccurate, or unclear information.
5. Packaging
You are responsible for packaging Goods so they can withstand normal handling and transport. Metrohub is not liable for damage to Goods that were inadequately packaged or unsuitable for transport, or for damage to the contents of a sealed package where the outer packaging shows no damage.
6. Rates, Fees, and Surcharges
Charges are based on our current rate card or the quote we provide, and may include a fuel surcharge, accessorial charges (such as waiting time, additional stops, oversized or heavy items, or after-hours service), and applicable taxes (GST). A quote is an estimate based on the information you provide and may be adjusted if actual requirements differ. Rates and surcharges may change from time to time; we will give reasonable advance notice of material changes to Account Customers.
7. Payment Terms
Account Customers are invoiced monthly, with payment due within 30 days of the invoice date. New and non-account customers must prepay or pay on delivery until an account is approved. We accept [EFT/bank transfer, Interac e-Transfer, cheque, and credit card]; credit card payments may be subject to a processing surcharge. Overdue amounts accrue interest at 2% per month (24% per year) or the maximum permitted by law, whichever is less. We may suspend service while any amount is overdue. Any disputed charge must be raised in writing within [15] days of the invoice date; undisputed amounts remain payable when due.
8. Pickup and Delivery
Delivery windows and transit times are estimates, not guarantees, unless you purchase a guaranteed service in writing. If a recipient is unavailable or delivery cannot be completed for reasons outside our control, we may attempt redelivery, return the Shipment, or hold it in storage, and additional charges may apply. Where you authorize unattended delivery, our electronic POD (including a photograph and timestamp) is conclusive evidence that delivery was completed.
9. Proof of Delivery
Metrohub captures electronic Proof of Delivery for Shipments, which may include signature, photograph, date, time, and GPS location. Absent manifest error, POD records are conclusive evidence that a Shipment was delivered and of its condition at the time of delivery.
10. Title and Custody
Metrohub takes custody of Goods for the limited purpose of transport. We provide carriage services only and do not take ownership of any Goods.
11. Prohibited and Restricted Items
You must not tender, and Metrohub will not knowingly carry: illegal goods or substances; dangerous or hazardous materials (including explosive, flammable, toxic, corrosive, or
radioactive materials); firearms, ammunition, and weapons; live animals; human remains or biological specimens (except where expressly agreed in writing); cash, negotiable instruments, or valuables exceeding the limits we specify; counterfeit goods; and any item prohibited by law or whose transport requires a licence Metrohub does not hold. You warrant that each Shipment complies with this section, and you are responsible for all loss, damage, fines, or liability arising from a breach.
12. Limitation of Liability
To the maximum extent permitted by law:
- Metrohub’s total liability for loss of or damage to any Shipment is limited to the lesser of the actual value of the Goods or CAD $100 per Shipment, unless you declared a higher value in writing before pickup and paid the applicable charge for increased coverage.
- Metrohub is not liable for any indirect, incidental, consequential, special, or purely economic loss, including loss of profit, revenue, business, or goodwill, even if advised of the possibility.
- Metrohub is not liable for delay unless you purchased a guaranteed delivery service in writing, in which case our liability is limited to a refund of the delivery charge for the affected Shipment.
- Metrohub is not liable for loss or damage caused by inadequate packaging, inherent defects in the Goods, inaccurate information, or events beyond our reasonable control.
13. Insurance and Declared Value
Metrohub maintains commercial automobile and goods-in-transit (cargo) insurance. The liability limit in Section 12 applies unless you declare a higher value in advance and pay for additional coverage. For high-value Shipments, you are responsible for arranging adequate insurance. A Certificate of Insurance is available to Account Customers on request.
14. Claims
To make a claim, you must notify Metrohub of loss or visible damage within 3 days of delivery (or, for non-delivery, within 3 days of the scheduled delivery date), and submit a written claim with supporting documentation — such as proof of value, photographs, and the POD reference. Failure to meet these timelines releases Metrohub from liability. No claim will be processed while your account is overdue, and any claim may be set off against amounts you owe.
15. Cancellations, Failed Deliveries, and Redelivery
Orders cancelled after a driver has been dispatched may incur a charge of up to the full delivery fee. Failed deliveries due to recipient unavailability, refused delivery, or inaccurate information may incur a redelivery or return charge, plus storage fees for Goods held more than 2 business days.
16. Confidentiality and Privacy
Metrohub handles Customer information and the contents of confidential Shipments (such as legal and medical documents) with discretion, and will not disclose them except as needed to provide the service or as required by law. We collect and handle personal information in accordance with applicable Canadian privacy law, including PIPEDA. POD and delivery data are retained for our records and may be shared with the relevant Customer.
17. Customer Responsibilities and Indemnity
You agree to indemnify and hold Metrohub harmless from any claims, losses, fines, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, including tendering prohibited or misdescribed Goods, providing inaccurate information, or infringing the rights of any third party.
18. Force Majeure
Metrohub is not liable for any failure or delay caused by events beyond our reasonable control, including severe weather and winter road conditions, road closures, accidents, vehicle breakdown, acts of government, labor disruptions, utility or network failures, and other events of force majeure.
19. Term and Termination (Accounts)
Either party may terminate an account relationship on 14 days written notice. All amounts owing become due on termination. Dedicated-vehicle and guaranteed recurring-route arrangements are governed by a separate written agreement, which may contain its own term, minimum commitment, and notice provisions.
20. Changes to These Terms
Metrohub may update these Terms from time to time. The current version is available at [www.Metrohublogistics.com]. Your continued use of our services after a change takes effect constitutes acceptance of the updated Terms.
21. Governing Law
These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable in Manitoba. The parties submit to the exclusive jurisdiction of the courts of Manitoba.
22. Entire Agreement and Severability
These Terms, together with any applicable rate card, quote, or signed agreement, constitute the entire agreement between you and Metrohub regarding our services. If any provision is found unenforceable, the remaining provisions continue in full force and effect.
